Tax status · Georgia

If you run a software company, digital agency, or IT services business and your clients sit outside Georgia, the Georgian Virtual Zone is a legal path to 0% corporate profit tax on that revenue. A Georgian LLC that earns 100% of its income from qualifying IT activities delivered to foreign clients is fully exempt from the standard 15% corporate profit tax on that income. Profits stay tax-free while retained in the company, and a 5% withholding applies only when dividends are distributed. Setup runs about $300–500 and takes two to four weeks. This guide covers who qualifies, how to register, the substance you actually need, and where the risks are.

What the Georgian Virtual Zone is

The Virtual Zone (VZ) is a special tax status granted by the Georgian Revenue Service to qualifying IT companies. The core rule is simple: a Georgian-registered company that earns 100% of its revenue from outside Georgia through qualifying IT activities pays 0% corporate profit tax on that income. It is a full exemption from corporate income tax for the qualifying revenue. The company remains a normal Georgian legal entity (an LLC, or shpsa) registered with the National Agency of Public Registry (NAPR) and operating under Georgian law, with its foreign-sourced IT income excluded from Georgia's standard 15% rate. Georgia introduced the Virtual Zone in 2011 to attract IT businesses, and it remains in force with no announced sunset date.

Who qualifies: the IT activity requirement

The Virtual Zone is specifically for information technology companies. Georgia defines qualifying activity broadly, centred on:

  • Software development — custom software, web applications, mobile apps
  • Web design and digital design services
  • Data processing and database management
  • Software testing and quality assurance
  • IT consulting and system architecture
  • Cybersecurity services
  • Cloud services and hosting infrastructure management

Activities outside Virtual Zone treatment include e-commerce (selling physical or digital products), online marketing and advertising agencies where the core deliverable is not software, crypto trading and asset management, and general consulting not tied to IT delivery. Where a company has mixed revenues, only the qualifying IT portion earns the 0% rate.

The export requirement

The second condition is that all qualifying revenue must come from clients outside Georgia. Any revenue from Georgian clients is taxed at the standard 15% corporate profit tax rate. In practice this means client contracts are with foreign entities, payment flows from outside Georgia, and the same services are not delivered to Georgian clients under the VZ umbrella. For most international digital founders, whose entire client base sits abroad, this is rarely a practical limitation.

How to register

Obtaining Virtual Zone status runs through the Revenue Service in three broad steps:

  1. Incorporate a Georgian LLC (shpsa) via NAPR, online through the e-portal or in person at a Public Service Hall.
  2. Open a Georgian bank account, required before or alongside the VZ application.
  3. File the Virtual Zone application with proof of incorporation, a description of IT activities, sample or draft client contracts showing foreign revenue, and a registered Georgian address.

Cost: Georgian incorporation runs roughly $200–300 in state and notary fees; the VZ registration itself carries minimal direct fees. Total setup with legal assistance typically comes to $300–500. Timeline: 5–10 business days for incorporation, with the VZ application reviewed separately over 5–15 business days, so 2–4 weeks in total. Georgia has invested heavily in e-governance, and non-residents can use a power of attorney through a registered Georgian representative for in-person steps.

The 5% distribution tax on dividends

Georgia uses an Estonian-model profit distribution tax, so the 0% corporate rate applies to undistributed profits. The full picture for a Virtual Zone company is: 0% on qualifying foreign IT income, 0% while profits stay in the company, and 5% withholding when dividends are paid out to shareholders. For founders who reinvest or hold cash in the company, the effective rate stays very close to 0% for years. For founders taking regular distributions, a 5% dividend tax remains highly competitive. Where the shareholder is in a country with a Georgian tax treaty, the treaty rate may apply instead, so check the specific treaty.

Banking in Georgia

Georgia has a well-developed, foreigner-friendly banking sector. Three banks dominate business accounts. TBC Bank is the largest by assets, with full-featured multi-currency accounts (GEL, USD, EUR), an English interface, and a modern app. Bank of Georgia is a close second, well-regarded for international transfers and correspondent relationships. Credo Bank is smaller and known for accessible, faster onboarding of foreign-owned businesses. All three open accounts for Georgian LLCs with foreign owners, provided the company is registered with NAPR, a director or authorized representative attends in person (or by notarized POA), and source-of-funds documentation is provided. The practical tip: open the account in person during the incorporation trip, since most founders complete both in a single 3–5 day visit to Tbilisi.

Substance requirements: what you actually need

Georgia has not adopted the BEPS-era economic substance rules seen in the UAE, Cayman, or BVI. The Virtual Zone status does require that the company is a genuine IT operation. Minimum substance in practice is a registered Georgian address (a virtual office or co-working address is acceptable), a Georgian bank account, client contracts documenting foreign revenue, and at least one director with signing authority who need not be Georgian. There is no requirement for Georgian employees, a physical office, or local management. Scrutiny tends to arise where revenue grows rapidly with no visible operations, where the same activity is delivered to Georgian clients, or where the structure looks like a conduit with no real IT delivery. Real contracts, a bank account with genuine transactions, and basic delivery correspondence substantially reduce that risk.

Risks and limitations

Aggressive growth can trigger a substance review

Very high-revenue companies with no Georgian presence beyond a bank account and registered address attract periodic scrutiny. Above roughly $1M in annual revenue through a VZ company, a minimal local presence — a director who visits, a contracted accountant, or a local employee — helps evidence genuine operations.

EU/OECD relations and billing EU clients

Georgia is not an EU member and is not on the EU list of non-cooperative jurisdictions. Some EU countries apply domestic rules that reclassify income flowing through low-tax jurisdictions where the structure lacks substance. An EU-resident founder routing EU client invoices through a Georgian VZ company may face home-country CFC rules or "artificial arrangement" provisions. Georgia is a strong structure for founders resident outside the EU, or who can demonstrate genuine substance.

The 100% export rule is absolute

If even a small portion of revenue comes from Georgian clients, that income is taxed at the standard 15%. Founders who develop Georgian clients must track that revenue carefully or run a separate entity for Georgian-source work.

Figures are indicative and depend on activity and provider. For the wider EU-facing picture, see UAE vs Cyprus vs Estonia, and for a full budget, what an international structure actually costs.

Georgia suits cost-sensitivity, speed, founders who travel freely without needing a UAE visa, and software companies that want simple, cheap compliance. The UAE suits founders who want to relocate to a 0% personal-income-tax base, companies that need strong international USD banking, and businesses that benefit from Dubai's network and Gulf proximity.

Frequently asked questions

Can a non-Georgian own 100% of a Virtual Zone company?

Yes. Georgian LLCs can be fully foreign-owned with no local shareholder or director required. Foreign nationals routinely own and run Georgian companies without a local partner.

What tax does a Virtual Zone company pay?

Qualifying IT income earned entirely from foreign clients is exempt from the 15% corporate profit tax. Profits stay tax-free while retained, and a 5% withholding applies when dividends are distributed.

Which activities qualify for Virtual Zone status?

Software development, web and digital design, data processing, testing and QA, IT consulting, cybersecurity, and cloud or hosting management. E-commerce, marketing agencies, and crypto trading do not qualify.

Do I have to travel to Georgia to set up?

Incorporation is possible remotely via a notarized power of attorney. Bank account opening usually requires in-person attendance, so most founders travel once for three to five days to complete both.

Does the export requirement have to be 100%?

Yes. Any revenue from Georgian clients is taxed at the standard 15%. The 0% rate applies only to income from clients outside Georgia.

How does Georgia compare with the UAE for IT companies?

Georgia wins on cost ($300–500 setup), speed, and easy banking, and needs no physical presence. The UAE suits founders who want to relocate to a 0% personal-tax base with strong USD banking.

Can Virtual Zone status be revoked?

Yes. Receiving Georgian-source revenue, switching to non-qualifying activity, or failing to keep a genuine registered presence can lead the Revenue Service to withdraw the status. Clean books and real contracts reduce that risk.
